The Boards of Amec Foster Wheeler Plc and John Wood Group Plc have announced proposals for a recommended All-Share Offer by John Wood Group Plc to acquire the entire issued and to be issued ordinary Share capital of Amec Foster Wheeler Plc. The Offer is to be effected by way of a Scheme of Arrangement. Under the terms of the Scheme of Arrangement Amec Foster Wheeler Plc Shareholders will receive the following:
 
0.75 of a New John Wood Group Plc Share in place of each Amec Foster Wheeler Plc Share held.

 

Shareholders can give an instruction to vote for or against the Scheme by our deadline of noon Friday 9 June 2017. Please note unless you wish to register a vote before our deadline then you do not need to take any action.
