Details (last updated 30 Oct 2017)

Old Mutual has announced the details of a Tender Offer for all outstanding Notes in issue. Under the terms of the Tender Offer you have been offered 118.5p for each 100p nominal of Notes held, plus accrued interest.

Qualifying Holders have two options to consider before our deadline of 10am on Thursday 2 November 2017.

Option 1: Tender your holding - Noteholders may tender (i.e. elect to sell) some or all of their holding, subject to a minimum tender election of £100,000 Nominal and in multiples of £1,000 Nominal thereafter.  Please note Old Mutual has made available a fixed amount of cash to repurchase this and one other outstanding Note, with the 8% Notes ranking behind the other Note in terms of repurchase priority. As such elections to tender your Notes may be subject to pro-rata scaling back.

Option 2: Take no Action - If you do not wish to participate in this Tender Offer you need take no action and you will retain your holding of Notes. Please note that depending on the number of Notes repurchased the market for the Notes that remain outstanding may be significantly more limited. Such remaining Notes may command a lower market price than would a comparable issue of debt securities with greater market liquidity. A reduced market value may also make the trading price of such Securities more volatile.

Full details of this event will be sent to Qualifying Hargreaves Lansdown clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the letter and not on the summary information outlined above.
