Spectre Holdings Ltd (Spectre) has announced the terms of a Takeover Offer for the entire issued Share Capital of Bonmarche Holdings plc. As Spectre now owns over 30% of Bonmarche, under Rule 9 of the Takeover Code, Spectre is required to make a cash offer for the Bonmarche Shares it does not already own. The Offer is not recommended by the board of Bonmarche. As you currently hold Bonmarche shars you have been offered the following:

 

For each Bonmarche Holdings plc Share: 11.445p in cash

 

What are my choices?

 

Option 1 - You can accept the Cash Offer from Spectre Holdings Limited. Under the terms of this Offer Bonmarche Holdings plc Shareholders have been offered 11.445p in cash for each Share held.


Option 2 - The alternative is to do nothing. If you do not wish to participate in either Offer you are not required to take any action at this time.

 

Any acceptance must be received in this office by noon on Wednesday 15 May 2019.
