What is happening?

 

Growthpoint Properties Ltd has announced that the Partial Offer to buy up to 219,786,927 Capital & Regional plc shares (approximately 30.2% of those in issue) at a price of 33p each has been extended.

 

You can ask to sell all or part of your holding in the Partial Offer. You’re guaranteed to be able to sell approximately 30.2% of your shares. You can ask to sell any number of shares, but you may not successfully sell all the shares you tender above this entitlement.

 

The easiest way to tender shares is online, and the deadline to give an instruction is noon on Thursday 12 December 2019.

 

You have two options

 

1. Do nothing


You don’t have to take part in the Tender Offer. If you don’t you’ll keep your existing shares.

 

2. Tender your shares


Ask to sell some or all of your shares at 33p per share. You’ll receive cash from shares successfully sold from 23 December 2019 unless the Offer is extended again, and any shares not successfully sold will be returned to your Account around the same time.

 

As your shares are held with Hargreaves Lansdown, scaling back of excess tenders may not be on the same terms as those announced by the company.

 

Share Consolidation

 

In addition, following the Partial Offer, the Company is consolidating its shares. Under the terms of the Consolidation, Shareholders will receive 1 new share in place of every 10 shares held at the close of business on 14 January 2020.
 

The new consolidated shares are expected on Wednesday 15 January 2020.
