What is happening?

 

In October 2019 the Board of China New Energy Ltd’s proposals to cancel the Company’s Ordinary Shares from trading on the Alternative Investment Market (AIM), and for the Shares to be listed on the Hong Kong Stock Exchange (HKEX).

 

Due to the application process for the HKEX listing taking longer than expected, the authority to cancel the Company’s Ordinary Shares from trading on AIM has expired and needs to be re-confirmed at the Company’s Annual General Meeting which has been scheduled for Thursday 16 April 2020.

 

IMPORTANT INFORMATION

 

China New Energy Ltd has stated that the Cancellation will be conditional on the Hong Kong Listing taking place within 3 months from the passing of the Cancellation Resolution. Once the date of the Hong Kong Listing and Cancellation are confirmed, we will write to you again with further details.

 

Please note that following the Cancellation the Shares of China New Energy Ltd will not be eligible to be held within the UK settlement system (CREST) and as a result Hargreaves Lansdown will hold the Shares on your behalf through HSBC. For more details regarding this arrangement please see our correspondence which is being sent to you by post or secure message.

 

What action do I need to take?

 

For the Cancellation to become effective, it must be approved at the Annual General Meeting to be held on Thursday 16 April 2020. Under AIM Rules, such a withdrawal resolution requires the consent of not less than 75% of votes cast by Shareholders voting on the resolutions at the Annual General Meeting. If you would like to submit a vote for or against the Proposals, please provide us with your voting instruction by noon on Thursday 9 April 2020.
