Cosan Ltd has opened a Tender Offer to buy up to USD357,500,000 of its shares. The offer allows Cosan Ltd to buy its shares at a ‘purchase price’ to be set by the company.

 

What does this mean?

 

The Tender Offer has the following features:


- The eventual purchase price will be between an upper and lower limit. The minimum price will be USD13.05 per share and the maximum price will be USD15.50 per share.


- You can decide what price you want to tender (i.e. ask to sell) your shares at within this range in increments of USD0.35, i.e. USD13.05, USD13.40, USD13.75 etc. Or you can tender at the purchase price, i.e. whatever price is ultimately set.


- If you tender your shares for more than the purchase price your instruction will be rejected and your shares will be returned to you.

 

- If you tender your shares for an amount less than or equal to the eventual purchase price any of your shares successfully tendered will be tendered at the purchase price. As there is a limited amount of cash available you may not sell all of the shares you ask to tender.


- If you hold less than 100 shares and you tender your entire holding at a price lower than or equal to the eventual purchase price your election to tender will be prioritised by the company when they decide which shares to purchase.


- You can make your election to tender shares conditional on a specified minimum number of shares being accepted (meaning that if this specified minimum is not successfully tendered your entire holding will be returned to you). If you make your election conditional your election to tender will be treated as lower priority by the company.

 

What are my options?

 

Option 1 – Tender a number of shares. You can choose to tender at a price between USD13.05 and USD15.50 (in increments of USD0.35), or you can tender at the Purchase Price. Any election must state the number of shares you wish to tender. Please note that some, or all, of the sale proceeds may be classed as income for US Tax purposes. As such US Withholding tax may be applied on any tender proceeds received.

 

Option 2 – Do nothing. You don’t have to take part in the offer. If you don’t, you’ll retain your current holding.

 

Any election must be given by our deadline of noon on Friday 20 September 2019.
