Details (last updated 9 Dec 2021)

What is happening?

Home Capital plc wants to return up to CAD300 million to shareholders. To do this the company is offering to buy its shares at a price between CAD43.50 and CAD48.50.

Please see below for a breakdown of the Tender Offer:

 You can ask to sell (tender) some or all of your shares at a specific price which is not less than CAD43.50, or greater than CAD48.50 (in increments of CAD0.10, e.g. CAD43.50, CAD43.60, CAD43.70, CAD43.80, etc.) Alternatively you can ask to tender at the eventual purchase price, which will be determined on completion of the offer.

 The eventual purchase price will be the lowest price within the range at which the company can accept tenders totalling up to CAD300 million.

 If you tender your shares at a price higher than the purchase price your instruction will be rejected and your shares will be returned to you.

 If you tender your shares at a price less than or equal to the eventual purchase price, you’ll receive the purchase price for any shares successfully sold. However, depending on the total number of elections, you may not sell all of the shares you ask to tender.

 Shareholders holding 99 shares or less who tender their entire holding at a price at or below the eventual purchase price will receive priority under the offer.

 Non-Canadian resident shareholders who sell shares in the offer may receive some of the proceeds as income, subject to Canadian Withholding Tax. We cannot confirm how much of the proceeds may be treated as income.

 Any proceeds will be converted to USD by CREST and then to Sterling upon receipt subject to the prevailing exchange rate at that time and our standard currency conversion fees.

Tender shares – Act by noon on Wednesday 15 December 2021

Full details of this event will be sent to Qualifying Hargreaves Lansdown clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the letter and not on the summary information outlined above.

The London Stock Exchange does not disclose whether a trade is a buy or a sell so this data is estimated based on the trade price received and the LSE-quoted mid-price at the point the trade is placed. It should only be considered an indication and not a recommendation.

Trades priced above the mid-price at the time the trade is placed are labelled as a buy; those priced below the mid-price are sells; and those priced close to the mid-price or declared late are labelled 'N/A'.
