Worldline SA has recently announced the terms of a Takeover Offer for Ingenico Group. Under the terms of the Offer holders of Ingenico Group Shares can accept an offer for cash, stock, or a mixture of both in exchange for their Ingenico Group Shares. 

 

What are my options?

 

Option 1 – Do nothing. You are not required to take any action at this time. Depending on the level of acceptance the bidder may seek to delist and/or compulsory acquire any remaining Shares at a later date.

 

Option 2 – Accept the Cash & Share Offer. You can give an instruction to accept the Offer of EUR22.928 and 1.571428 Worldline SA Shares for each Ingenico Group Share held. Following receipt of your instruction your Shares would be submitted in acceptance of the Offer.

 

Option 3 – Accept the Cash Offer. You can give an instruction to accept the Offer of EUR123.10 for each Ingenico Group Share held. Following receipt of your instruction your Shares would be submitted in acceptance of the Offer.

 

Option 4 – Accept the Share Offer. You can give an instruction to receive 56 Worldline SA Share for every 29 Ingenico Group Shares held. Following receipt of your instruction your Shares would be submitted in acceptance of the Offer.

 

Please note, Options 3 and 4 are available for a limited percentage of the Share Capital of Ingenico Group and therefore may be subject to pro rata scaling back.

 

Worldline SA Shares are listed on the Paris Stock Exchange under symbol ‘WLN’.

 

The Cash or Shares will be credited to your Account upon receipt from the Registrar.

 

When do I have to decide by?

 

Any instruction must be received in this office by noon on Thursday 15 October 2020.
