International Personal Finance plc is proposing a number of amendments to the terms of the International Personal Finance plc 7.75% 2023 Notes. These changes are more fully described in the correspondence sent to Noteholders.

 

As a holder of these Notes within your Hargreaves Lansdown Account, you’ve been offered the opportunity to vote on the proposal. If you do vote, you’re being offered an Early Vote Fee of 0.5% of the aggregate principal amount of the Notes voted, as long as the proposals are approved.

 

Do I need to take any action?

 

If you hold £100,000 or more in principal amount of the Notes you must give a voting instruction for or against the resolutions before our deadline of 8am Tuesday 27 October 2020 in order to receive the Early Voting Fee. You may still submit a vote after this deadline up until noon on Friday 30 October 2020 but you will not receive the Early Voting Fee.

 

If you hold less than £100,000 in principal amount of the Notes you must give a voting instruction for or against the resolutions before our deadline of noon on Friday 30 October 2020 in order to receive the Early Voting Fee. This is also the final voting deadline.

 

N.B. Holders will not be eligible to receive the Early Voting Fee if they chose to attend and vote at the Meeting.

 

If you give an instruction to vote, your Notes will be blocked for a short period of time and you’ll be unable to trade them. This will be until the earlier of either the proposal being rejected / cancelled or payment of the Early Voting Fee, which is expected to be no later than 12 November 2020.
