What has happened?

 

The Boards of Pargesa Holding S.A and Groupe Buxelles Lambert (a wholly owned subsidiary of Parjointco Switzerland SA) have recently announced the terms of a Tender Offer. Under the terms of the Takeover holders of Pargesa Holding S.A Shares have been offered 0.93 of a Groupe Buxelles Lambert Share for each Share held. Please note the ratio of 0.93 may be reduced if additional Pargesa shares are issued before the offer is completed. 

 

What are my options?

 

Option 1 – Do nothing. You are not required to take any action at this time. Depending on the level of acceptance the bidder may seek to delist and/or compulsory acquire any remaining Shares at a later date.

 

Option 2 – Accept the Offer. You can give an instruction to receive 0.93 of a Groupe Buxelles Lambert Share for each Share held, subject to the amendment referred to above . Following receipt of your instruction your Shares would be submitted in acceptance of the Offer. The new Groupe Buxelles Lambert Shares will be credited to your Account upon receipt from the Registrar.


Any instruction must be received in this office by noon on Thursday 4 June 2020. If no instruction is received, your Shares will not be tendered and the Offer will lapse.
