Premier Oil plc plans to merge with Chrysaor Holdings Limited and change its name to Harbour Energy plc.

 

At the same time Premier Oil plc will reorganise its debt, including its 6.5% 2021 Notes. These notes will be cancelled and replaced with a mixture of cash and Harbour Energy shares.

If you do nothing you’ll receive a mixture of cash and Harbour Energy shares in place of your 6.5% 2021 Notes.

 

We don’t know the exact amount of cash and stock you’ll get as this will depend on what cash is left after payments are made to higher priority creditors.

 

Choosing all cash in place of your notes – Act by noon Monday 15 February 2021

 

Alternatively you can choose to receive all cash in place of your notes. This option has limited availability so if you chose it and elections are scaled back you may still receive some Harbour Energy shares instead of cash.

 

Buying more Harbour Energy shares – Act by noon Monday 15 February 2021

 

If you take the default mixed cash and shares you have the option to buy additional Harbour Energy shares at a price of USD0.1144 per share. There are a limited number of shares available so you may not receive all the shares you apply for. You can purchase your new shares in any of your HL accounts - we'll assume you’re applying for shares in the account you currently hold the shares unless you tell us otherwise.

 

You’ll need enough money on your capital account when you are charged for the shares you successfully purchase – this is expected to be sometime in March.

 

We’ll add your new shares and/or cash to your account on or around 29 March 2021. Any dollar payments will be converted into sterling before payment by Premier Oil.

 

If you give an election your Notes will be blocked from trading until the debt restructuring on 29 March 2021.
