What is happening?

 

Prudential plc has announced that it is inviting Bondholders to vote on Extraordinary Resolutions to approve certain changes to the 5% 2055 Bonds. These changes are a result of the proposed Demerger of M&GPrudential from Prudential plc.

 

Prior to the Demerger Prudential plc plans to rebalance its existing debt. The Company intends to change the primary debtor for the 5% 2055 Bonds to the holding company of M&GPrudential. In connection with this change the Company also intends to increase the coupon of the 5% 2055 Bonds by 0.56%. These changes are not mandatory and Prudential plc is under no obligation to make the changes even if they are approved by Noteholders.

 

As a holder of Prudential 5% 2055 Bonds held within your Hargreaves Lansdown Account you have been offered the opportunity to vote on the Resolutions. Bondholders are also being offered an Early Voting Fee of £85 for each £1,000 in principal amount of the Bonds voted either in favour of or against the Extraordinary Resolutions. In order to qualify for this payment you must give an election before our deadline of noon Wednesday 29 May 2019. Any instructions placed after this deadline but before noon on Monday 3 June 2019 will qualify for a Late Voting Fee of £21.25 for each £1,000 in principal amount of the Bonds voted. 

 

The proposal is subject to Bondholder approval. If you wish to register a vote you must do so before our noon Wednesday 29 May 2019 deadline. N.B. You will only be eligible to receive the Voting Fee if you vote in advance of our deadlines as specified above. If you choose to attend the Meeting you will not be eligible to receive the Voting Fee.

 

Please note that if you give an instruction to vote, your Bonds will be temporarily removed from your account and blocked from trading until after the Meeting has concluded on 10 June 2019. You will not be able to trade your Bonds until they are returned to us after the Meeting. N.B. We cannot guarantee that the Bonds will be returned to us immediately after the Meeting has concluded and we are unable to provide an exact date as to when you will be able to trade your Bonds after the Meeting has concluded.
