What is happening?

 

The Boards of RIB Software SE have announced the terms of a Takeover Offer by Schneider Electric Investment AG. Under the terms of the Offer, holders of RIB Software SE Shares have been offered EUR29.00 for each Share held.

 

What are my options?

 

Option 1 – Do nothing. You are not required to take any action at this time. Depending on the level of acceptance the bidder may seek to delist and/or compulsory acquire any remaining Shares at a later date.

 

Option 2 - Accept the Offer. You can give an instruction to accept Offer of EUR29.00 for each RIB Software SE Share held. Payment will be made via an interim line of stock which will be credited to your Account upon receipt. The Company have not announced when the payment is due.

 

When do I have to decide by?

 

Any instruction must be received in this office by noon Friday 17 April 2020. If no instruction is received, your Shares will not be put forward in acceptance of the offer.
