What is happening?

 

We write further to our message dated 15 November 2019 regarding the terms of a recommended cash acquisition by Surf Buyer Ltd (a newly formed company owned by funds managed/and or advised by Thomas Bravo LLC), of Sophos Group plc. Sophos Group plc has announced that the Court Hearing to sanction the Scheme has been scheduled for Tuesday 25 February 2020, and that the Effective Date of the Scheme is expected to be Thursday 27 February 2020.

 

As a holder of Sophos Group plc Shares held within your Hargreaves Lansdown Account you have been offered the following:

 

For each Sophos Group plc Share: USD7.40 in cash

 

Do I need to take any action?

 

If you wish to sell your holding before the Effective Date of the Scheme you must do so before 4:30pm on Wednesday 26 February 2020. The trade will be placed in accordance with our terms and conditions and subject to the standard Stockbrokers commission rates. To sell these Shares please phone us on 0117 980 9800 or you can place a trade online. Please note that if the cash consideration of a sale does not exceed the commission payable then the sale will not be executed. Please note that although Hargreaves Lansdown will endeavor to sell your Shares it may not be possible to sell all, or even any, of your Shares if a market for the Shares no longer exists. If you dispose of your holding before Court approval has been granted you do so at your own risk.

 

If the Scheme is sanctioned by the Court at the above-mentioned Court Hearing then Shareholders as at close of business on Wednesday 26 February 2020 will automatically receive USD7.40 in cash in place of each Share held.

 

Currency Election Alternative

 

There is an option to have the cash payment converted into Sterling by Surf Buyer Ltd rather than Hargreaves Lansdown. The conversion will be subject to the bidding company’s standard currency conversion fees which are not confirmed in the Offer Document, and therefore we are unable to state which option would result in the more favourable Sterling rate. Any conversions made by Hargreaves Lansdown will be subject to the prevailing exchange rate at the time of receipt and our standard currency conversion fees.
