What is happening?

 

Tesco plc has announced the details of Tender Offers for a number of its outstanding Notes including the Tesco 5% 2023.

 

If you don’t want to tender your Notes, you don’t need to do anything. You’ll keep your existing Notes.

 

The price you’ll get if you tender your Notes won’t be calculated until the offer has closed. The price will be set so that it gives a yield to maturity equal to that of the 0.125% UK Treasury Gilt due 31 January 2023 plus 0.4%. For illustrative purposes only had the calculation date been 20 January 2021 the Tender Price would have been approximately 110.01p. We have provided this figure for illustrative purposes only and it should not be taken as a forecast of what you may receive under the offer.

 

Tesco will set a limit to the amount of cash available across all of the Tender Offers, as such elections to tender Notes may be subject to scaling back, with no guarantee that any of the Notes will be repurchased under the Offer.

 

Accrued interest up to the pay date will also be paid on successfully tendered Notes.

 

The deadline to tender your Notes is 8am on Tuesday 26 January 2021.

 

You can ask to sell some or all of your holding. The minimum tender amount for this note is 50,000 Units, and tenders above this level must be in multiples of 1,000 Units.

 

Cash resulting from successful tenders is expected to be credited to your Account from 29 January 2021.
