CA Immobilien Anlagen AG and SOF-11 Klimt CAI S.à r.l, a controlled affiliate of Starwood Capital Group, recently announced the terms of a Takeover by way of a Tender Offer. The offer has been extended. As a holder of CA Immobilien Anlagen AG Shares, you have two options to consider.

 

What are my options?

 

Option 1 – Do nothing. You are not required to take any action at this time. Depending on the level of acceptance the bidder may seek to delist and/or compulsory acquire any remaining shares at a later date.

 

Option 2 – Accept the Offer. You can give an instruction to accept the Tender Offer of EUR36.00 for each CA Immobilien Anlagen AG Share held by our deadline of noon on Thursday 8 July 2021. Following receipt of your instruction your Shares would be submitted in acceptance of the Offer.

 

Cash payments will be made via an interim line of stock which will be exchanged for cash at a later date.
