Details (last updated 26 Feb 2026)

Docebo Inc wants to return up to USD60 million to shareholders. To do this the company is offering its shares at a price of USD20.40 per share. This is called a tender offer.

You can ask to sell all or part of your holding in the offer. If you don’t want to sell any shares, you don’t need to do anything.

• Shareholders holding 99 shares or less who tender their entire holding will receive priority under the offer.
• Non-Canadian resident shareholders who sell shares in the offer may receive some of the proceeds as income, subject to Canadian Withholding Tax. We cannot confirm how much of the proceeds may be received as income.
• The US Dollars payment will be converted into Pound Sterling by Hargreaves Lansdown, subject to the prevailing exchange rate at the time and our standard currency conversion fees.
• Depending on the total number of elections, you may not sell all of the shares you ask to tender. As your shares are held with Hargreaves Lansdown, scaling back of excess elections may not be on the same terms as those announced by the company.

Sell shares in the offer – Act by noon on Friday 6 March 2026

Any shares you ask to sell will be removed from your portfolio from 6 March 2026. Any shares not successfully sold will be returned to your account around the same time you receive cash from shares successfully sold. The payment date has not been announced by the company.

Full details of this event will be sent to Qualifying Hargreaves Lansdown clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the letter/message and not on the summary information outlined above.

The London Stock Exchange does not disclose whether a trade is a buy or a sell so this data is estimated based on the trade price received and the LSE-quoted mid-price at the point the trade is placed. It should only be considered an indication and not a recommendation.

Trades priced above the mid-price at the time the trade is placed are labelled as a buy; those priced below the mid-price are sells; and those priced close to the mid-price or declared late are labelled 'N/A'.
