What is happening?

 

Northern Bear plc has announced details of a Tender Offer by Cedarvale Holdings Ltd to purchase approximately 29.6% of its Issued Share Capital. You have two options to consider before our noon on Wednesday 23 October 2019 deadline.

 

The Tender Offer enables Shareholders to tender all or part of their Shareholdings. Each Shareholder has a Basic Entitlement to tender (i.e. elect to sell) 29.6% of their Shares held.

 

The Tender Offer Price is 72p per Share. Please note that Tender elections may be subject to pro rata scaling back at the discretion of the Company.

 

What are my options?

 

Option 1 – Tender a number of Ordinary Shares. If you wish to tender a number of Shares please give us your instruction by noon on Wednesday 23 October 2019, at which point any tendered Shares will be removed from your portfolio. Cash resulting from a successful tender is expected to be credited to your Account on or before 7 November 2019.

 

Option 2 – Take no action. Shareholders are not obliged to tender any number of Shares. If you do not return an instruction no Shares will be tendered on your behalf and your holding will remain unchanged.
