Nuveen S&P 500 Dynamic Overwrite Fund (the Fund) is a diversified, closed-end management investment company. The Fund’s investment objective is to seek attractive total return with less volatility than the S&P 500 Index. Under normal circumstances, the Fund will invest at least 80% of its assets in a diversified equity portfolio made up of securities comprising the S&P 500 Index that seeks to substantially replicate the price movements of the S&P 500 Index and is designed to support the Fund’s option strategy. The Fund may invest in United States Government securities. It may invest in any other security or agreement collateralized or otherwise secured by United States Government securities. The Fund may invest in securities of non-United States issuers that are United States dollar denominated. It invests in various sectors, including banks, capital goods, consumer discretionary distribution and retail, and consumer services. The Fund's investment adviser is Nuveen Fund Advisors, LLC.
