Nuveen S&P 500 Dynamic Overwrite Fund (the Fund) is a diversified, closed-end management investment company. The Fund’s investment objective is to seek an attractive total return with less volatility than the S&P 500 Index. Under normal circumstances, the Fund invests at least 80% of its assets in a diversified equity portfolio made up of securities consisting of the S&P 500 Index that seeks to substantially replicate price movements of the S&P 500 Index and is designed to support the Fund’s option strategy. It also invests in other investment companies, including exchange-traded funds (ETFs), that provide similar exposure to individual common stocks consistent with the Fund’s investment objective. It invests in various sectors, including aerospace and defense, beverages, biotechnology, capital markets, chemicals, communications equipment, diversified telecommunication services, entertainment, consumer finance, and others.
