Primary Health Properties plc are offering 0.3865 of a new Primary Health Properties plc share and 12.5p in cash per Assura plc share, plus a special dividend of 0.84p per share. A mix & match facility is also available, further details below.

 

Sana Bidco Limited are offering a best and final increased offer of 50.42p in cash per Assura plc share.

 

The board of Assura plc are recommending that accepting the offer by Primary Health Properties plc is in the best interest of shareholders and have withdrawn its recommendation of the final offer by Sana Bidco Limited.

 

 

Primary Health Properties Mix and Match facility 

 

A mix and match facility is available allowing you to vary the amount of cash and shares you receive under the offer. You may elect to receive additional Primary Health Properties plc shares instead of cash or additional cash instead of Primary Health Properties shares.

 

Elections for excess shares or cash will only be satisfied to the extent that other shareholders make equal and opposite elections and may therefore be subject to scaling back, i.e. you may still receive a combination of both cash and shares.

 

The terms of the mix and match facility are as follows:

 

• Maximum cash. You can elect to receive approximately a further 40p in cash instead of every 0.3865 of a Primary Health Properties plc share. This is in addition to the default cash consideration of 12.5 pence in cash due for each Assura plc share.


• Maximum shares. You can elect to receive approximately a further 0.1208 of a Primary Health Properties plc share instead of every 12.5p in cash. This is in addition to the default share consideration of 0.3865 new Primary Health Properties share due for each Assura plc share.

 

Elections for maximum cash or maximum shares could be scaled back, so you may not get all of the cash or shares you ask for.
