CI Financial Corp wants to return up to CAD85 million to shareholders. To do this the company is offering its shares at a price of CAD17.50 per share. This is called a tender offer.

 

You can ask to sell all or part of your holding in the offer. If you don’t want to sell any shares, you don’t need to do anything.

 

Please see below for a breakdown of the tender offer:

 

• Shareholders holding 99 shares or less who tender their entire holding will receive priority under the offer.


• Non-Canadian resident shareholders who sell shares in the offer may receive some of the proceeds as income, subject to Canadian Withholding Tax. We cannot confirm how much of the proceeds may be received as income.


• The cash proceeds will be converted from Canadian Dollars into US Dollars by CREST, the UK settlement system and no currency conversion fee will be charged by CREST for this conversion. The US Dollars payment will then be converted into Pound Sterling by Hargreaves Lansdown, subject to the prevailing exchange rate at the time and our standard currency conversion fees.


• Depending on the total number of elections, you may not sell all of the shares you ask to tender. As your shares are held with Hargreaves Lansdown scaling back of excess elections may not be on the same terms as those announced by the company.
