American Axle & Manufacturing Holdings (AAM) has made an offer to buy Dowlais Group plc. Shareholders are being offered 43p in cash and 0.0881 of an American Axle & Manufacturing Holdings Inc share for each Dowlais Group plc share.


The offer was approved at the recent shareholder meetings on 22 July 2025.

 

If the scheme is approved, the effective date has been confirmed as 3 February 2026. The resulting AAM shares will be credited to your portfolio on or around 5 February 2026, with cash proceeds due by 17 February 2026. The last day to sell your Dowlais Group shares and not participate in the takeover is expected to be 2 February 2026.  


Mix and Match facility

 

A mix and match facility is available allowing you to vary the amount of cash and shares you receive under the offer. You may elect to receive additional AAM shares instead of cash or additional cash instead of AAM shares. The amount of additional stock or cash you receive will be based on an average of the AAM share price in the 5 trading days before 2 February 2026.   Elections for excess shares or cash will only be satisfied to the extent that other shareholders make equal and opposite elections and may therefore be subject to scaling back, i.e. you may still receive a combination of both cash and shares.

 

To elect for the Mix & Match alternative please give an instruction below before noon on Friday 30 January 2026. If you do not give an election under the mix and match facility you will receive the basic terms of 43p cash and 0.0881 AAM shares.

 

IMPORTANT Potential withholding tax on cash payment

 

As AAM is a US company you may be liable to US withholding tax of up to 30% on any cash proceeds credited under the offer. To avoid this, you will need to complete a tax certification known as a W-8BEN form. If you have not completed a W-8BEN form please follow the instructions in our recent communication to you immediately, and in any event before 29 January 2026.
