The board of Fidelity Japan Trust plc (FJV) is proposing to wind up the company via a scheme of reconstruction. Under the terms of the scheme, holders of FJV shares have been offered AVI Japan Opportunity Trust plc (AJOT) shares in place of their holding. If you do not want to receive AJOT shares, you have the option to elect to receive cash instead.

 

You have two options to consider before our deadline of noon on Thursday 6 November 2025.

 

Option 1 - Rollover into AVI Japan Opportunity Trust plc (DEFAULT). You can rollover your holding and receive AJOT shares. If you would like this option you do not need to take any action.

 

Option 2 - Cash option. As an alternative to AJOT shares, you can instead elect to receive cash in place of all or part of your holding. The cash option is subject to a limit of 50% of the company’s issued share capital, meaning if you elect to receive cash for more than 50% of your shares, your election may be scaled back and you may receive the default terms (AJOT for some of your shares) instead.

Dividend Policy

Having regard to the relatively low dividend yield of most Japanese companies, it is unlikely that any dividend paid by the Company will be significant. However, in order to qualify as an investment trust the Company may not retain in any accounting period more than 15% of the income it derives from shares and securities. The Company pays dividend annually.
