General Electric Company has announced the details of Tender Offers for a number of its outstanding Notes, including the General Electric Capital Corp 5.625% Eur Medium Term Notes 16/09/31. Holders of these Notes may tender their holding for repurchase by General Electric Company at a price to be determined on completion of the Offer.

 

The Tender Offer is for up to USD23,000 million of Notes across all the Tender Offers. Notes have been classed into three separate pools and then ranked with higher priority level notes being tendered first, as such elections to tender Notes may be subject to scaling back, with no guarantee that any of the Notes will be repurchased under the Offer.

 

The Purchase Price will be based on a repurchase yield which will be the sum of a purchase spread and the yield to maturity of a Benchmark Security Rate, being a specified Treasury Gilt. For this Note the Benchmark Security is the UK Treasury Gilt 0.25% 31 July 2031 and the purchase spread will be 105.

 

Accrued interest up to the pay date will also be paid on successfully tendered Notes. 

 

Noteholders are also being offered an Early Participation Fee of £50 per £1,000 nominal successfully tendered if they tender their shares before our deadline of noon on Monday 22 November 2021. Notes can still be tendered after this deadline up to noon on Tuesday 7 December 2021, but no Early Participation Fee will be paid.

 

What are my options?


Option 1: Tender your holding - Noteholders may tender (i.e. elect to sell) some or all of their holding. Notes must be tendered in multiples of 1,000 Units.

 

Option 2: Take no Action - If you do not wish to participate in this Tender Offer you need take no action and you will retain your holding of Notes.

 

Cash resulting from successful early tenders is expected to be paid on 1 December 2021. Cash from late tenders will be paid on 14 December 2021.
