What is happening?

 

As you may be aware, Checkit plc wants to return approximately £81 million to Shareholders. Under the terms of the Tender Offer, holders of Checkit Plc Shares have been offered 65p for each Share held.

  

The deadline to give an instruction is noon on Wednesday 20 November 2019.

 

Please note, this Tender Offer is subject to Shareholder approval at a General Meeting to be held on 25 November 2019.

 

You have two options: 

 

Option 1 – Do nothing. You don’t have to take part in the Tender Offer. If you don’t you’ll keep your existing Shares. 

 

Option 2 – Tender shares
Ask to tender some or all of your shares at 65p per share. You have a guaranteed entitlement to tender 2 out of 3 shares (66.7%) you hold. You can ask to sell more of less than this, but you may not successfully sell all the shares you tender above this entitlement.

 

You’ll receive cash from shares successfully sold on 5 December 2019, any shares not successfully sold will be returned to your account around the same time.

 

Any instruction must be received in this office by noon Wednesday 20 November 2019. If no instruction is received, your Shares will not be tendered and the Offer will lapse.
