The board of Dewhurst Group plc has announced proposals to cancel the company’s ordinary shares from trading on the Alternative Investment Market (AIM) and a return of up to £25 million to shareholders by way of a tender offer at £6.65 per non-voting share. All proposals are subject to shareholder approval at a General Meeting to be held on 21 August 2025.

You can ask to sell all or part of your holding in the tender offer. You’ve got a guaranteed entitlement to tender (i.e. elect to sell) 81.6215216% of your shareholding. You can ask to sell more or less than this, but you might not successfully sell all the shares you tender above this entitlement. 

If you don’t want to sell any shares, you don’t need to do anything.

Sell shares in the tender offer – Act by noon on Wednesday 27 August 2025

If approved, any shares you ask to sell will be removed from your portfolio from 27 August 2025. Any shares not successfully sold will be returned to your account on completion of the offer. You’ll receive cash from shares successfully sold on or around 10 September 2025.

As your shares are held with Hargreaves Lansdown, scaling back of tenders may not be on the same terms as those announced by the company.
