Seneca Foods Corp wants to return up to USD75 million to shareholders. To do this the company is offering to buy its shares at a price between USD40.00 and USD46.00.

 

Please see below for a breakdown of the Tender Offer:

 

•  You can ask to sell (tender) some or all of your shares at a specific price which is not less than USD40.00, or greater than USD46.00 (in increments of USD0.25, e.g. USD40.00, USD40.25, USD40.50, USD40.75, etc.) Alternatively you can ask to tender at the eventual purchase price, which will be determined on completion of the offer.

• The eventual purchase price will be the lowest price within the range at which the company can accept tenders totalling up to USD75 million.

•  If you tender your shares at a price higher than the purchase price your instruction will be rejected and your shares will be returned to you.

•  If you tender your shares at a price less than or equal to the eventual purchase price, you’ll receive the purchase price for any shares successfully sold. However, depending on the total number of elections, you may not sell all of the shares you ask to tender.

 

What are my options?

 

You can choose whether you wish to tender shares in this offer. The deadline to give an instruction is 9am on Thursday 4 March 2021.

 

Option 1 – Tender a number of shares at a price between USD40.00 and USD46.00 (in increments of USD0.25). Any election must state the number of shares you wish to tender and the price at which you wish to tender using the additional comment box. If you do not give a tender price it will be assumed that your election is to tender at the purchase price.

 

Option 2 - Tender a number of shares at the purchase price. Shareholders can tender their shares without specifying a price. Any election must state the number of shares you wish to tender.

 

Option 3 – Take no action. Shareholders are not obliged to tender any number of shares. If you don’t give as an instruction your shares won’t be tendered and your holding will remain unchanged.

Seneca Foods Corporation is a provider of packaged fruits and vegetables. The Company manages its business through two segments: packaging and sale of fruits and vegetables, and packaging and sale of chip products. Its product offerings include canned fruits and vegetables, frozen vegetables and other food products, frozen and bottled produce, and snack chips. Its products are sold under private label, as well as national and regional brands that the Company owns or licenses, including Seneca, Libby's, Green Valley, Aunt Nellie's, READ, Cherryman and Seneca Farms. The Company packs Green Giant, Le Sueur and other brands of canned vegetables, as well as select Green Giant frozen vegetables for B&G Foods North America (B&G) under a contract packing agreement. Its two segments constitute the food operation. The non-food operation is primarily related to the sale of cans and ends, and the Company's trucking and aircraft operations.
