Fee Structure

As set out in the heads of terms signed by the Company and Baillie Gifford, Baillie Gifford will be paid an annual management fee of 0.55% p.a. of the lower of the Companys market capitalisation and the Companys net asset value which shall include income, in either case up to GBP 500m and 0.5%p.a. of the amount of the lower of the Companys market capitalisation or net asset value above GBP 500m. The Investment Management Agreement is terminable on not less than three months notice or on shorter notice in certain circumstances.

Dividend Policy

Company is exposed to risks which could result in a reduction of either or both of the NAV and the profits available for distribution by way of dividend. No interim dividend will be paid, and any annual dividend will be paid only to the extent needed for the Company to maintain its investment trust status.
