Tender Offer

Details (last updated 8 Dec 2025)

DCC plc wants to return up to £600 million to shareholders. To do this the company is offering to buy approximately 12.3% of its shares at a price between £50.20 and £53.20. This is called a tender offer.

If you don’t want to tender your shares, you don't need to do anything. You’ll keep your existing shares.

Please see below for a breakdown of the tender offer:

• You can ask to sell (tender) some or all of your shares at a specific price which is not less than £50.20, or greater than £53.20 (in increments of £0.75, e.g. £50.20, £50.95, £51.70, £52.45, etc.) Alternatively you can ask to tender at the eventual purchase price, which will be determined on completion of the offer.

• The eventual purchase price will be the lowest price within the range at which the company can accept tenders totalling up to £600 million.

• If you tender your shares at a price higher than the purchase price your instruction will be rejected and your shares will be returned to you.

• If you tender your shares at a price less than or equal to the eventual purchase price, you’ll receive the purchase price for any shares successfully sold. However, depending on the total number of elections, you may not sell all of the shares you ask to tender. As your shares are held with Hargreaves Lansdown, scaling back of excess tenders may not be on the same terms as those announced by the company.

Sell shares in the offer – Act by noon on Friday 12 December 2025

Full details of this event will be sent to Qualifying Hargreaves Lansdown clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the letter/message and not on the summary information outlined above.

The selling price currently displayed is higher than the buying price. This can occur temporarily for a variety of reasons; shortly before the market opens, after the market closes or because of extraordinary price volatility during the trading day.

HL comment

HL comment is not available for this stock.

The London Stock Exchange does not disclose whether a trade is a buy or a sell so this data is estimated based on the trade price received and the LSE-quoted mid-price at the point the trade is placed. It should only be considered an indication and not a recommendation.

Trades priced above the mid-price at the time the trade is placed are labelled as a buy; those priced below the mid-price are sells; and those priced close to the mid-price or declared late are labelled 'N/A'.
