What is happening?

 

The Company has announced proposals for a Tender Offer to purchase for cash up to 12milllion of its Shares. Gamestop Corporation holders may elect to tender some or all of their Shares for repurchase by the Company, at a ‘Purchase Price’ to be determined. The Tender Offer is designed so that the Company pays the lowest price at which Shareholders are prepared to tender their Shares.

 

The Company is inviting Shareholders to tender (i.e. ask to sell) some or all of their Shares at a minimum price which is not less than USD5.20 or greater than USD6.00 (in increments of USD0.10, e.g. USD5.20, USD5.30, USD5.40, USD5.50, etc.). Shareholders can elect to tender Shares for sale at different prices or at the Purchase Price but all Shares successfully tendered will be purchased at the Purchase Price.

 

Any Shares tendered at a price higher than the Purchase Price will not be purchased under the Tender Offer; Shares tendered at the Purchase Price or below will be accepted. However, if the tender total is more than the 12 million Shares available then elections will be scaled back and not all of your Shares will be repurchased. For your information at the close of business on 28 June 2019, the Shares had a price of USD5.54.

 

Please also note that Shareholders with a holding of 99 Shares or less who tender their entire holding will have their instruction to tender treated preferentially under the offer.

 

You can make you tender conditional on a specified minimum number of your shares being accepted. If you wish to do this please clearly specify this when giving an election.

 

 

What are my options?

 

Option 1 – Tender a number of Shares at a price between USD5.20 and USD6.00 (in increments of USD0.10). In order to participate in this Tender Offer an election must be received in this office by noon Monday 8 July 2019, at which point your tendered Shares will be removed from your portfolio. Any election must state the number of Shares you wish to tender and the price at which you wish to tender.

 

Option 2 - Tender a number of Shares at the Purchase Price. Shareholders can tender their Shares without specifying a price. Any election must state the number of Shares you wish to tender.

 

Please note that some, or all, of the sale proceeds may be classed as income for US Tax purposes. As such US Withholding tax may be applied on any tender proceeds received.

 

Option 3 – Take no action. Shareholders are not obliged to tender any number of Shares. If you do not return an instruction no Shares will be tendered on your behalf and your holding will remain unchanged.
