Objective

The objective of HgCapital Trust (HGT) is to provide shareholders with consistent long-term returns in excess of the FTSE All-Share Index by investing predominantly in unquoted companies where value can be created through strategic and operational change. HGT provides investors with exposure to a fast-growing network of unquoted investments, primarily in software and service businesses, across the globe.

Fee Structure

Management fee 1.5% p.a. of NAV. Performance fee allows for a carried interest of 20% of the excess annual growth in average NAV over an 8% preferred return, based on a three year rolling average NAV. Contract terminable on 2 years notice.

Dividend Policy

The Board aims to sustain a minimum annual dividend level of 4.8p per Ord, but is mindful of the objective to achieve long-term growth in shareholder value. The ability to meet these two objectives depends significantly on income receivable from investments and on the level and timing of profitable realisations to generate sufficient cash and cannot be guaranteed. There will be variations in the amount of dividends paid year on year. Dividends to declare semi-annually, on September and March.
