What is happening?

 

The Company has announced proposals for a Tender Offer to purchase up to 37 million Lyondellbasell Industries NV Shares. Lyondellbasell Industries NV holders may elect to tender some or all of their Shares for repurchase by the Company, at a ‘Purchase Price’ to be determined.

 

The Purchase Price will be the lower of either i) the lowest price between USD77.00 and USD88.00 which allows for the maximum number of shares to be repurchased, or ii) a price equal to 110% of the volume weighted average price of the Shares on the expiration date of the Tender Offer (currently expected to be 8 July 2019). Please note that if 110% of the volume weighted average price of the Shares on the expiration date is less than USD77.00 then the offer may be cancelled or extended. The Tender Offer is designed so that the Company pays the lowest price at which Shareholders are prepared to tender their Shares.

 

The Company is inviting Shareholders to tender (i.e. sell) some or all of their Shares at a minimum price which is not less than USD77.00 or greater than USD88.00 (in increments of USD0.50, e.g. USD77.00, USD77.50, USD78.00, USD78.50, etc.). Shareholders can elect to tender Shares for sale at different prices or at the Purchase Price but all Shares successfully tendered will be purchased at the Purchase Price.

 

Any Shares tendered at a price higher than the Purchase Price will not be purchased under the Tender Offer; Shares tendered at a lower price than the Purchase Price will be purchased and satisfied in full. However, if Tender elections are received for more than 37 million Shares then Shareholders’ tenders at the eventual Purchase Price may be subject to scaling back.

 

Cash in respect of successful tenders will be credited to your Account upon receipt. There is currently no firm date for this.

 

What are my options?

 

Option 1 – Tender a number of Shares at a price between USD77.00 and USD88.00 (in increments of USD0.50). In order to participate in this Tender Offer an election must be received in this office by noon on Thursday 4 July 2019, at which point your tendered Shares will be removed from your portfolio. Any election must state the number of Shares you wish to tender and the price at which you wish to tender.

 

Please note that when giving an instruction you must clearly state the number of Shares you wish to tender and at what price you wish to tender your Shares in the additional comments box. We will be unable to process any instructions given without this information.

 

Option 2 - Tender a number of Shares at the Purchase Price. Shareholders can tender their Shares without specifying a price. Any election must state the number of Shares you wish to tender.

 

Option 3 – Take no action. Shareholders are not obliged to tender any number of Shares. If you do not return an instruction no Shares will be tendered on your behalf and your holding will remain unchanged.
