Fee Structure

Under the terms of the Investment Management Agreement, the Investment Manager will be entitled to fees equal to 1% of the NAV p.a. on the first GBP 750m of the Companys NAV and 0.9% on such part of the Companys NAV above this.

Dividend Policy

The Company is targeting an initial dividend of at least 2 pence per Ordinary Share in the first financial year ending 31 December 2022 rising to 4 pence per Ordinary Share for the financial year ending 31 December 2023 and thereafter a progressive dividend. As regards the target dividend for the first financial year, the Company is targeting a first interim dividend of 1 pence per Ordinary Share in respect of the period from Initial Admission to 30 June 2022 and a second interim dividend of at least 1 pence per Ordinary Share in respect of the period from 1 July 2022 to 31 December 2022, expected to be paid in September or October 2022 and March or April 2023 respectively.
