Objective

The Company’s Investment Policy is directed towards new investments in businesses which either: (i) have the potential for high growth, or (ii) are cashflow generative businesses with a high-quality customer base.The Venture Fund will typically make initial investments of between £50,000 and £2 million and may make further follow-on investments into existing portfolio companies.

Fee Structure

Management fees plus VAT of 2.0% p.a. of the NAV, payable quarterly in arrear. Performance incentive fee of 20% of the excess are charged wholly to capital. The appointment shall continue for a period of at least six years from the admission of those shares.

Dividend Policy

For the Venture Fund, the Company intends to distribute regular dividends of up to 5 pence per Venture Share per annum thereafter. The Company's ability to pay dividends is subject to the existence of realised profits, legislative requirements, and the available cash reserves.
