Guardian Metal Resources makes SEC filing for proposed US offering

(Sharecast News) - Guardian Metal Resources said on Friday that it has filed a registration statement with the US Securities and Exchange Commission (SEC) for a proposed initial public offering of American Depositary Shares in the United States.

The AIM-traded, Nevada-focused tungsten exploration company said the Form F-1 registration statement related to a potential IPO of ADSs to be offered by the company, with an intended listing on the NYSE American under the ticker 'GMTL'.

It said the number of ADSs to be sold and the pricing terms were yet to be determined.

BMO Capital Markets would act as book-running manager for the proposed offering.

The company said the transaction remained subject to market conditions and regulatory approval, and there could be no assurance as to whether or when the offering will be completed, or as to its size or final terms.

At 1309 GMT, shares in Guardian Metal Resources were up 5.86% at 271p.
