What is happening?

 

JZ Capital has announced details of a series of Tender Offers. The Company has announced it intends to purchase up to USD100 million of Shares (approximately 5%) of the entire issued Share capital at a price no more than a 5% discount to the NAV (Net Asset Value). The first Tender Offer of up to USD30 million will be a price of USD9.39 per Share.Shareholders will be entitled to a basic Entitlement to Tender but this has yet to be decided by the Company. Tenders in excess of this Basic Entitlement may be subject to scaling back.

 

A Currency Election facility will be available under which holders will be able to elect to receive the Tender Offer Consideration in either USD or GBP at the buyback exchange rate set on the Tender Offer closing date by JZ Capital. After deduction of costs associated with the Conversion). Please note the default Tender consideration will be JZ Capitals’ Conversion rate into GBP.

 

Currency Election Alternative

 

There is an option to have the cash payment converted into Sterling by Hargreaves Lansdown rather than JZ Capital. The conversion will be subject to our standard currency conversion fees and the prevailing exchange rate at that time.

 

What are my options?

 

Option 1 – Tender a number of Shares with USD converted by JZ Capital at the GBP equivalent of USD9.39 per Share. The Tender Offer Consideration will be converted from USD to GBP by JZ Capital/their Agent subject to the prevailing exchange rate at that time and their fees. Please note, the exact level of fees to be charged on this conversion will not be known until completion of the Tender Offer.

 

Option 2 – Tender a number of Shares with USD converted by Hargreaves Lansdown at the equivalent of USD9.39 per Share. The Tender Offer Consideration will be converted from USD to GBP by Hargreaves Lansdown subject to the prevailing exchange rate at that time and our standard currency conversion fees.

 

If you wish to tender a number of Shares please give us your instruction by noon on Wednesday 21 August 2019, at which point any tendered Shares will be removed from your portfolio.

 

Option 3 – Take no action. If you choose not to Tender your Shares then you will retain your holding in JZ Capital.
