Tender Offer
Shareholder action required:
Yes
Status:

Details (last updated 10 Aug 2021)

What is happening?

PAM Transportation Services wants to repurchase up to 200,000 shares off shareholders. To do this the company is offering to buy its shares at a price between USD32.00 and USD37.00.

If you don’t want to sell shares in the offer don’t need to do anything.

Please see below for a breakdown of the Tender Offer:

You can ask to sell (tender) some or all of your shares at a specific price which is not less than USD32.00, or greater than USD37.00 (in increments of USD0.50, e.g. USD32.00, USD32.50, USD33.00, USD33.50, USD34.00, etc.) Alternatively you can ask to tender at the eventual purchase price, which will be determined on completion of the offer.

The eventual purchase price will be the lowest price within the range at which the company can accept tenders totalling up to 200,000 shares.

If you tender your shares at a price higher than the purchase price your instruction will be rejected and your shares will be returned to you.

If you tender your shares at a price less than or equal to the eventual purchase price, you’ll receive the purchase price for any shares successfully sold. However, depending on the total number of elections, you may not sell all of the shares you ask to tender.

Non-US resident shareholders who sell shares in the offer may receive some of the proceeds as income, subject to US Withholding Tax.

Any proceeds will be converted from USD into GBP upon receipt subject to the prevailing exchange rate at that time and our standard currency conversion fees.

Tender shares – Act by noon Friday 20 August 2021

You can give an instruction to tender your shares below.

Full details of this event will be sent to Qualifying Hargreaves Lansdown clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the letter and not on the summary information outlined above.

The London Stock Exchange does not disclose whether a trade is a buy or a sell so this data is estimated based on the trade price received and the LSE-quoted mid-price at the point the trade is placed. It should only be considered an indication and not a recommendation.

Trades priced above the mid-price at the time the trade is placed are labelled as a buy; those priced below the mid-price are sells; and those priced close to the mid-price or declared late are labelled 'N/A'.
