Northamber acquires NUC Distribution in deal worth up to £7.1m

(Sharecast News) - Northamber announced the expansion of its presence in the unified communications and audiovisual technology market on Monday, with the acquisition of Nuvias UC's UK hardware business, NUC Distribution, in a deal worth up to 7.1m.

The AIM-traded distributor said the transaction, which completed on Monday, would advance its strategy to build a scaled, value-added offering across collaboration, AV and smart-workspace solutions.

It described NUC as one of the UK's leading providers of specialist unified communications hardware, supplying more than 700 customers across enterprise, mid-market, public sector, service-provider and specialist AV and UC channels.

For the 12 months ended 30 October, the business generated unaudited revenue of 28.8m and gross profit of 3.2m, with net assets of 5m at the end of November.

Northamber said the deal would enhance its capabilities in areas such as Microsoft Teams Rooms, Zoom Rooms, enterprise voice systems and specialist collaboration devices, while improving its technical offering in solution design, provisioning and deployment support.

The acquisition followed the recent purchases of Tempura Communications in 2024 and Epatra earlier this year, accelerating the group's buy-and-build strategy.

Northamber said the purchase price comprised an initial payment of up to 1.7m and a further amount of up to 5.4m linked to NUC's stock at completion, subject to adjustments.

Additional consideration could be reduced based on post-completion performance benchmarks over the next two years.

Deferred payments would extend through to January 2028.

As part of the transaction, NUC would become a wholly owned subsidiary of Northamber, and the seller would provide transitional support for a limited period.

Executive chairman Alex Phillips said the deal strengthened the group's competitive position.

"Their expertise and strong heritage in UC and AV complement our existing portfolio, strengthening our capabilities across the intelligent workplace.

"This addition broadens our reach and accelerates our growth in one of the fastest-evolving technology markets, ensuring we continue to deliver exceptional value to our partners."

At 1343 GMT, shares in Northamber were up 14.74% at 32.7p.
